1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and RL Interactive Studios LTD ("we," "us" or "our"), registered at 66 Paul Street, London, United Kingdom, concerning your access to and use of our website and services.
2. Professional Services
We provide digital development, software engineering, UI/UX design, and related services. The specific scope, deliverables, timelines, and pricing for any given project will be outlined in a separate Statement of Work (SOW) or formal proposal agreed upon by both parties before work commences.
3. Intellectual Property Rights & Promotional Free Builds
For standard paid projects, unless otherwise agreed in writing, upon full and final payment for the services rendered, the client assumes ownership of the final custom deliverables (e.g., custom website code, bespoke graphics).
RL Interactive Studios LTD retains all rights, title, and interest in any pre-existing intellectual property, internal frameworks, libraries, templates, or underlying algorithms used to create the deliverables. We grant the client a perpetual, non-exclusive, royalty-free license to use these underlying elements solely as incorporated into the final deliverable.
Free Promotional Builds
If your website or application was built under a "100% Free Build" promotion (such as the July Free Website Offer), all code, designs, and visual assets remain the exclusive intellectual property of RL Interactive Studios LTD. The waiver of development costs is strictly contingent upon the client utilising our in-house hosting, maintenance, and management services.
Clients participating in free build promotions are explicitly prohibited from exporting, copying, cloning, or migrating the website code or design to external hosting providers or third-party developers. If the client chooses to cancel their monthly management subscription, the website will be taken offline, as the client does not own the underlying code or assets. Clients may purchase the full rights to the code at any time for the standard original development cost.
Domain Transfers: If we have registered a custom domain on your behalf as part of a promotional package, we remain the registered owner of that domain while you are an active client. Should you choose to cancel your subscription and wish to transfer the domain to your own registrar, a standard Domain Release & Administration Fee of £129.99 applies to cover the administrative time required to unlock the domain, authorise the transfer, and liaise with your new provider.
4. Payment Terms
Invoices must be paid within the timeframe specified on the invoice. We reserve the right to suspend services or withhold final deliverables until full payment is received. All deposits paid to commence work are non-refundable unless otherwise stipulated in writing.
5. Confidentiality
Both parties agree to hold in strict confidence any proprietary or confidential information disclosed by the other party. We are happy to sign standard Non-Disclosure Agreements (NDAs) upon client request prior to discussing project specifics.
6. Limitation of Liability
To the fullest extent permitted by applicable law, RL Interactive Studios LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services. Our total aggregate liability shall not exceed the total amount paid by you to us for the specific service giving rise to the claim.
7. Governing Law
These Terms shall be governed by and defined following the laws of England and Wales. RL Interactive Studios LTD and yourself irrevocably consent that the courts of England and Wales shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
